1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and GridWall ("we," "us," or "our"), governing your access to and use of the GridWall platform available at gridwall.link (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

GridWall is a link-in-bio tool designed for Instagram creators. The Service allows users to:

  • Create a public profile page at gridwall.link/[username] showcasing curated Instagram content.
  • Organize Instagram posts into named sections to tell a story beyond the chronological feed.
  • Import Instagram posts manually or through AI-powered automatic wall generation.
  • View analytics on profile views and content engagement.

3. Account Registration and Responsibilities

3.1 Eligibility

You must be at least 13 years of age to use GridWall. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Creation

To use the Service, you must register with a valid email address and password. You will receive a confirmation email to verify your account. During onboarding, you will choose a unique username that will serve as your public profile URL.

3.3 Username Policy

Your username is subject to the following rules:

  • Must be at least 3 characters long.
  • May only contain alphanumeric characters and underscores.
  • Once set, your username is permanent and cannot be changed. Choose carefully.
  • Usernames must not impersonate other individuals, brands, or entities.

3.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password for your GridWall account.
  • Notify us immediately at support@gridwall.link if you suspect unauthorized access to your account.
  • Not share your account credentials with any third party.

4. Acceptable Use

You agree to use GridWall only for lawful purposes and in accordance with these Terms. You agree not to:

  • (a) Use the Service to post, display, or link to content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • (b) Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • (c) Use the Service to distribute spam, phishing attempts, malware, or any other harmful content.
  • (d) Attempt to gain unauthorized access to other users' accounts, the Service infrastructure, or any connected systems.
  • (e) Scrape, crawl, or use automated means to access the Service beyond normal usage, except through our provided features (such as the auto-build wall feature).
  • (f) Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with other users' use.
  • (g) Violate any applicable local, state, national, or international law or regulation.
  • (h) Use the Service to infringe upon the intellectual property rights of any third party.

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of the content you create and organize on GridWall, including your section titles, descriptions, bio text, and the arrangement of your wall. By using the Service, you grant us a limited, non-exclusive, worldwide license to host, display, and distribute your content solely for the purpose of operating and providing the Service.

5.2 Instagram Content

When you import Instagram posts to your GridWall, you represent and warrant that:

  • You are the owner of the Instagram content you import, or you have obtained the necessary rights and permissions to use it.
  • Your use of imported Instagram content complies with Instagram's (Meta's) Terms of Use.
  • The imported content does not infringe upon any third party's intellectual property rights, privacy rights, or other legal rights.

5.3 GridWall Intellectual Property

The Service, including its design, features, code, logo, and branding, is owned by GridWall and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology without our prior written consent.

6. Third-Party Services and Links

The Service integrates with and links to third-party platforms and services, including but not limited to Instagram (Meta), Supabase, and Vercel. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

Links to Instagram posts and profiles displayed on your GridWall profile direct visitors to Instagram.com. We do not control and are not responsible for the content or availability of external sites.

7. Service Availability

We strive to maintain the Service's availability but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. We reserve the right to:

  • (a) Modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
  • (b) Perform maintenance that may temporarily affect Service availability.
  • (c) Impose limits on certain features or restrict access to parts of the Service.

Features that depend on third-party services (such as Instagram post importing and AI-powered wall generation) are subject to the availability and functionality of those external services.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the Service will be accurate or reliable; or (d) any errors in the Service will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRIDWALL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities.
  • Damages resulting from unauthorized access to or alteration of your data.
  • Damages resulting from the conduct of any third party on the Service.
  • Any other damages arising out of or related to your use of, or inability to use, the Service.

This limitation applies regardless of the legal theory on which the claim is based, whether we have been advised of the possibility of such damages, and even if a remedy set forth herein is found to have failed its essential purpose.

10. Indemnification

You agree to indemnify, defend, and hold harmless GridWall and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of or relating to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including intellectual property rights.
  • Content you import, post, or display through the Service.

11. Termination

11.1 Termination by You

You may stop using the Service at any time. To request deletion of your account and data, contact us at support@gridwall.link.

11.2 Termination by Us

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or our Acceptable Use policy.
  • Conduct that we determine is harmful to other users or to the Service.
  • Extended periods of inactivity.
  • Requests from law enforcement or government agencies.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Your public profile page will no longer be accessible. We may delete your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including Sections 5.3, 8, 9, 10, and 13) will continue to apply.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration or the appropriate courts of competent jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GridWall regarding the Service and supersede any prior agreements or understandings, whether written or oral.
